Company Formation and Post-Incorporation Service

Start Right. Stay Compliant. Build for Growth.

Choosing the right business structure and completing your company registration are only the first steps. The real challenge begins after incorporation—when you must navigate a complex web of tax registrations, statutory filings, and ongoing compliance obligations. Many entrepreneurs underestimate the post-incorporation burden, only to face penalties, delays, and regulatory scrutiny later. At Qeeva Advisory, we provide end-to-end company formation and post-incorporation services that ensure your business is established correctly and positioned for long-term success.

Why Getting Company Formation Right Matters

The Nigerian regulatory environment is complex and constantly evolving. A misplaced document, an incorrect form, or a missed deadline can result in significant delays and additional costs. For foreign investors, the challenges are even greater—from navigating cultural and language barriers to understanding local business practices. Section 78 of CAMA requires foreign companies to engage an affiliate company in Nigeria to conduct business, unless exempted by the Minister of Industry, Trade, and Investment. Engaging a local consultant with adequate knowledge of Nigerian laws is not just helpful—it is often required.

Here are the most critical challenges we help you address.

Choosing the Wrong Business Structure – Many entrepreneurs select a structure without understanding the tax implications, capital requirements, or ongoing compliance burden. Changing structure later is costly, time-consuming, and administratively burdensome. Getting it right from the start saves significant time, money, and frustration.

Underestimating Post-Incorporation Compliance – Many entrepreneurs underestimate the ongoing compliance requirements of their chosen structure. Annual returns, tax filings, and regulatory reporting can be overwhelming for those who are unprepared. Non-compliance can result in heavy fines, business shutdowns, or legal action.

Delaying Tax Registration – Every business must obtain a Tax Identification Number (TIN) from the Federal Inland Revenue Service (FIRS). Without a TIN, you cannot open a corporate bank account, issue invoices, or comply with tax obligations. Delaying TIN registration can result in penalties and interest charges.

Missing Critical Deadlines – The Corporate Affairs Commission (CAC) has intensified efforts to delist inactive companies from its register. Many entrepreneurs discover their company has been struck off during critical moments like applying for loans, seeking investment, or bidding for contracts.

Navigating Regulatory Complexity Alone – The Nigerian regulatory environment is complex and constantly evolving. A misplaced document, an incorrect form, or a missed deadline can result in significant delays and additional costs.

Our Comprehensive Company Formation and Post-Incorporation Services

We offer end-to-end services tailored to the Nigerian business environment.

Company Formation and Registration

We help you establish your business with the right legal structure.

Business Structure Advisory – We begin by understanding your business goals, ownership structure, risk tolerance, and long-term vision. We analyse your specific circumstances—including the nature of your business, your target market, your capital requirements, and your growth plans—to recommend the most appropriate business structure.

Business Name Reservation – We reserve your preferred business name with the CAC. Names must not be identical to existing companies, misleading, or prohibited under Section 30 of CAMA 2020. Once approved, the name can be reserved for 60 days.

Memorandum and Articles of Association – We draft and prepare your Memorandum and Articles of Association, outlining your business objectives, share capital, and internal governance rules. These documents must comply with Sections 27 and 28 of CAMA 2020 and be signed by the company’s promoters.

CAC Registration – We manage the entire registration process on your behalf—from submitting your application to the CAC to obtaining your Certificate of Incorporation. We ensure all documents are accurate, complete, and properly certified to avoid delays or rejections.

Foreign Investor Services – For foreign investors, we guide you through the entire process—from CAC registration to obtaining your business permit and securing expatriate quota approvals. Foreign-owned companies have higher capital requirements (₦100,000,000 minimum share capital) and must navigate additional regulatory requirements. We help you navigate the regulatory landscape, prepare the necessary documentation, and liaise with government agencies on your behalf.

Post-Incorporation Registrations

We ensure your business meets all post-incorporation requirements.

Tax Identification Number (TIN) – We apply for your TIN from the Federal Inland Revenue Service (FIRS). The TIN is mandatory for tax filing, invoicing, and opening a corporate bank account. From 2026, a company’s CAC registration number will become its primary Tax ID.

VAT Registration – We register your business for Value Added Tax (VAT) if your annual turnover exceeds ₦25 million. VAT is charged at 7.5% on taxable goods and services.

PAYE and Payroll Registration – We register your business for Pay-As-You-Earn (PAYE) tax and other payroll contributions, including pension (PENCOM) and social insurance (NSITF).

Corporate Bank Account Opening – We assist with opening your corporate bank account. Nigerian banks require your CAC certificate, TIN, resolution of directors, and KYC documents for signatories.

Sectoral Licenses and Permits – We help you obtain any sector-specific licenses or permits required for your industry, including NAFDAC for food and health products, NCC for telecoms, and CBN approvals for financial activities.

NIPC Registration – For foreign investors, we facilitate registration with the Nigerian Investment Promotion Commission (NIPC) for investor facilitation and incentives.

Ongoing Compliance and Company Secretarial Services

We ensure your business remains compliant with all regulatory requirements.

Annual Returns Filing – We prepare and file your annual returns with the CAC. Annual returns must be filed within 42 days of your company’s annual general meeting, and late filings attract penalties for each year of non-compliance. We also declare Persons with Significant Control (PSC) as required.

Tax Compliance – We manage your ongoing tax obligations, including Companies Income Tax (CIT), Value Added Tax (VAT), Withholding Tax (WHT), and PAYE. CIT returns are due within 18 months of incorporation and subsequently within 6 months following the end of the financial year. VAT returns are due by the 21st day of the following month. PAYE returns must be filed by January 31st for the preceding year.

Audited Financial Statements – We prepare audited financial statements for tax filing and regulatory compliance. Section 24 of CITA mandates audited financial statements for tax filing.

Statutory Records Maintenance – We maintain your company’s statutory registers, including the register of members, directors, and charges. We also keep records of minutes of meetings.

Company Secretary Services – Under CAMA 2020, every company except a small company must have a company secretary. We act as your company secretary, ensuring compliance with all statutory obligations and providing governance support.

Change of Directors and Shareholders – We file changes of directors, secretaries, and shareholders with the CAC, ensuring your records remain current and compliant.

Tax Clearance Certificate (TCC) – Under Section 72 of the Nigeria Tax Administration Act (NTAA) 2025, a Tax Clearance Certificate is required for various transactions, including Certificate of Occupancy, building plan approval, government contracts, import or export licences, and trade licences. We help you obtain and maintain your TCC.

Growth and Capital Advisory

We support you beyond registration, providing strategic advisory on business growth, capital raising, and expansion.

Capital Raising Assistance – We help you prepare for investment, structure financing, and connect with potential investors.

Frequently Asked Questions (FAQ)

1. What is the minimum share capital for a private company in Nigeria?

The minimum share capital for a private company is ₦100,000. For foreign-owned companies, the minimum share capital requirement is typically ₦100,000,000. Higher share capital leads to increased filing fees and stamp duty.

2. How long does company registration take?

CAC reviews applications and, if requirements are met, issues a Certificate of Incorporation. The process typically takes 5-10 business days, but this can vary based on the completeness of your documentation and the responsiveness of the CAC.

3. What is the Tax Identification Number (TIN) and why do I need it?

The TIN is a unique identifier issued by the Federal Inland Revenue Service (FIRS). It is mandatory for tax filing, invoicing, and opening a corporate bank account. From 2026, a company’s CAC registration number will become its primary Tax ID.

4. What are the ongoing compliance requirements after incorporation?

Ongoing compliance includes filing annual returns with the CAC within 42 days of your annual general meeting, filing CIT returns within 6 months of your financial year-end, filing VAT returns by the 21st of each month, remitting PAYE by the 10th of each month, and maintaining statutory registers.

5. What is a Tax Clearance Certificate (TCC) and when do I need it?

Under Section 72 of the NTAA 2025, a TCC is required for Certificate of Occupancy, building plan approval, government contracts, import or export licences, and trade licences. It covers the three years immediately preceding the current year of assessment.

6. Do I need a company secretary?

Under Section 330 of CAMA 2020, every company except a small company must appoint a company secretary. A small company is defined as a private company with turnover not exceeding ₦120 million, net assets not exceeding ₦60 million, no foreign members, and directors holding at least 51% of equity.

7. What happens if I don’t file my annual returns?

Failure to file annual returns can result in penalties for each year of non-compliance. The CAC has intensified efforts to delist inactive companies, and many entrepreneurs discover their company has been struck off during critical moments like applying for loans or bidding for contracts.
